Signatory Terms for Nexus GO Signing

1. Definitions

Customer

The party who purchases the Services from Nexus. 

Document

A PDF-document uploaded to the Services which may be electronically signed by You.

Services

Nexus GO Signing, which allows the Customer and parties invited by the Customer, such as You, to sign Documents electronically. 

You

You, the individual using the Services.

2. Scope of the agreement

By accepting these terms, You are granted a limited, personal, non-exclusive, non-transferable, fully revocable license and right to sign documents using Nexus Go Signing. You may not use the Services in any other way.

3. The Services

The Services are described on https://go.nexusgroup.com/.

4. Your use of the Services

4.1.    You are personally responsible for any use of the Services through Your account and for selecting secure log-in credentials and taking all necessary precautions to keep such credentials secret and secure.

4.2.    You may not (i) register false information in applying for or amending Your access to the Services, (ii) use information of a third party without proper authorization, or (iii) allow a third party to use Your account or access the Services. If You find that Your log-in credentials are compromised or used by a third party, You shall immediately restore the credentials and notify the Customer and Nexus thereof.

4.3.    You agree not to (i) distribute any part of the Services in any medium or make the Services available over a network where they could be used by multiple devices at the same time, (ii) solicit personally identifying information for commercial or unlawful purposes, (iii) rent, lease, lend, sell, redistribute or sublicense the Services, (iv) copy, decompile, reverse engineer, disassemble, attempt to derive the source code of, modify, or create derivative works of the Services, any updates, or any part thereof, (v) delete, change or modify in any way any copyright notices or trademarks contained in the Services, (vi) use or launch any automated system, including without limitation, robots, spiders or other automatic device or manual process to monitor or copy the Services, or (vii) provide to the Services any viruses, worms, time bombs, and/or other computer programming routines that are intended to damage, detrimentally interfere with, intercept or expropriate any system, data or information or any content that may create liability for Nexus.

4.4.    You may not use any illegal materials or violate any applicable laws in connection with the use of the Services and You undertake not to use the Services in moral or ethical gray zones, such as the fields of gambling, pornography, guns, alcohol and microloans (e.g. by text messaging).

4.5.    You undertake not to, by use of any software or hardware, to copy, manipulate, unnecessarily burden, decompile or gain access to parts of the Services or Documents other than made available by Nexus or uploaded by the Customer.

4.6.    Should Nexus find that You are in breach of any provision contained in Sections 4.1 - 4.5 above Nexus may suspend Your access to the Services permanently or temporarily. 

5. No warranties and limitation of liability

5.1.    The Services are provided to You as a signing tool on an “as is” basis. To the extent permitted by applicable law, Nexus disclaims all warranties, whether express or implied, including but not limited to implied warranties of fitness for a particular purpose, warranties arising from course of dealing or course of performance, freedom from malicious code, of accuracy, title and non-infringement of third party rights, with regard to the Services. Nexus does not warrant that the Services will meet Your requirements, be uninterrupted, timely, error-free, secure or that the results that may be obtained from the use of the Services will be accurate or reliable. You agree to assume all risk of any and all damages and loss from use of, or inability to use, the Services. No oral or written information or advice given by Nexus outside of these terms shall create or be understood as an express or implied warranty.

5.2.    Nexus shall in no event be liable for direct or indirect damages, losses, or liabilities incurred by You due to Your use of the Services or any unavailability, failure or malfunction of the Services or the legal status of any Document.

6. Legal validity of signatures

6.1.    Some jurisdictions and/or laws and regulations within such jurisdictions may have certain requirements for signatures of documents to be legally valid. Nexus can therefore not guarantee that a signature of a Document through use of the Services will be legally valid. You and other party(ies) signing a Document by use of the Services are fully responsible for ensuring that the signatures thus created will meet legal requirements for a binding and legally enforceable signature in the relevant jurisdiction.

6.2.    Any Document signed by use of the Services will be entered into between the signing parties, which are solely responsible for the content of each Document. Except for the case where Nexus explicitly acts as a signatory of a document, Nexus will under no circumstances be a party to any Document signed through the Services. Nexus will have no knowledge of or responsibility for the content of a Document and will not, even if so requested, interpret, give legal advice regarding or act to enforce the content of any Document.

7. Access to Documents

7.1.   Nexus temporarily stores and processes uploaded PDF documents for the purpose of adding digital signatures and related information. Except for this case, Nexus will not access the content of Documents unless the Customer has given its explicit consent. Such access may be necessary for Nexus to provide support. Any content of a Document to which Nexus has been granted access will be treated confidentially and only shared with personnel within Nexus on a strict need-to-know basis.

7.2.   Nexus may collect information about processed signature information such as digital fingerprints for the purpose of supplying a service to customers for validation of signatures.

8. Personal data

To provide You with signatory rights using the Services, Nexus must process Your personal data. Please find information in Data processing agreement for Nexus GO Signing. Nexus will not process Your personal data for any other purpose.

9. Termination and suspension of the Services

9.1.    Nexus shall be entitled to immediately terminate Your access to the Services if You fail to meet any part of these terms.

9.2.    In addition, if Your access was created by a Customer whose access is suspended, Your access to the Services will be automatically terminated (unless You have also been granted access to the Services by another Customer).

10. Amendments

Nexus may from time to time amend the Services.

11. Notices

All notices shall be deemed to have been received by You on the earliest of Your confirmation or three days after Nexus sent such notice to the email address provided by You in accordance with the instructions in the Nexus GO Portal when registering for the Services.

12. Governing law and dispute resolution

12.1. These terms shall be governed by and construed in accordance with the substantive laws of Sweden.

12.2. Any dispute, controversy or claim arising out of or in connection with these terms, or the breach, termination or invalidity thereof, shall be finally settled in the general courts of Sweden, with the District Court of Stockholm as the court of first instance. Notwithstanding the aforesaid, disputes shall be settled by the Stockholm Chamber of Commerce, should there be an on-going parallel dispute regarding the same subject-matter or incident before the Stockholm Chamber of Commerce.
